Develop Global Limited (ASX:DVP)

Develop Global Limited (DVP) has been identified by the Australian Securities Exchange (ASX) as being in breach of Listing Rule 14.4. This rule requires that a director must not hold office past the third annual general meeting following their appointment or three years, whichever is longer, without re-election. However, directors appointed to fill a casual vacancy or as an addition to the board must not hold office past the next annual general meeting without re-election. It was noted that Duncan Bradford was appointed as a Non-executive Director on 29 October 2025, but the Annual General Meeting held on 10 November 2025 did not include a resolution for his election. Consequently, ASX has requested DVP to prepare an announcement explaining the circumstances of the non-compliance, the company's stance on Mr. Bradford's continuation as a director, and the steps to rectify the situation. DVP is required to submit this draft announcement by 14 November 2025.
